Liu Siyuan is now a partner in the Security Department of Jingtian & Gongcheng and specializes in security compliance, securities litigation, administrative investigation, as well as commercial litigation and arbitration.
Ms. Liu Siyuan has handled a lot of administrative penalty cases and securities-fraud cases covering a broad range of issues, such as insider tradings, information disclosure violations, fraudulent listings, and securities market manipulations. Ms. Liu has represented or advised clients in more than one hundred securities-type cases heard before CSRC or litigated in courts at all levels nationwide. Her rich experience and deep insights in the field can be found in a dozen of cases she worked on, such as CITIC Securities’s impunity case related to CITADEL’s securities margin trading, Everbright Securities’s fat finger case addressing insider trading, Kangdexin’s financial fraud case, Yabaite’s information disclosure violation case, Shenzhen Datong’s case related to its violent resistance against administrative investigation, an accounting firm’s case related to its performance of the duty of due diligence, a fund manager’s alleged insider trading case, the majority shareholder of Hengkang Medical Group’s market manipulation case, and Founder Securities’s securities-fraud lawsuits. She has also provided long-term securities compliance advice to various listed companies, financial institutions and securities intermediaries.
Ms. Liu can provide legal services in the entire process of securities compliance, which cover not only front-end services like daily compliance system construction, special compliance investigation and compliance management effectiveness assessment, but also back-end services like responding to CSRC’s administrative investigation and administrative penalty, preventing potential securities crimes, and representing clients in securities-fraud litigations against shareholders.
Ms. Liu zealously protects clients’ legitimate interests with her deep knowledge of key points of cases of the kind, precise and accurate judgment of legal issues, and great capability in developing rational and practical plans. With her professional services, many listed companies and securities service agencies were exempted from administrative penalties imposed by CSRC; lots of listed companies and intermediaries were judged in their favor in securities-fraud cases; many listed companies, financial institutions, and other entities in the capital market established and improved their compliance systems.
Ms. Liu’s area of expertise also covers enterprise-related disputes, such as disputes on shareholders’ battle for corporate control, valuation adjustment mechanisms, and investments. Ms. Liu has assisted clients in achieving their commercial goals with her precise understandings of clients’ needs, her insistence on considering the latest regulatory principles, and her flexible and comprehensive designs of dispute resolution measures.
Ms. Liu has actively participated in legislation and academic events. She is a director of the Case Law Board of China Law Society, a member of the law amendment workgroup organized by the Ministry of Finance of PRC concerning the the amendment of the Law on Certified Public Accountants, a mediator in an investor protection institution, and a columnist for Caixin. Also, she has provided professional advice on the enactment and amendment of many laws, judicial interpretations, and CSRC regulations. Besides, she is the co-author of The Baseline of Behaviors in Capital Markets and the China Chapter of The Securities Litigation Review. She published various articles in Financial Services Law Review and China Case Law Review.
Ms. Liu was recommended in the compliance area by Legalband in the recent three consecutive years, and was awarded as “30 under 30” by Legalband in 2017. Also, the cases she handled, which are the CITIC Securities’s impunity case related to CITADEL’s securities margin trading, and the Founder Securities’s securities-fraud lawsuits, were awarded as “the Deals of the Year—Disputes & Investigations” in 2018 and 2019 separately.
Ms. Liu joined Jingtian & Gongcheng in 2017 as a partner. Prior to this, she worked at King & Wood Mallesons for many years. She obtained both her Bachelor’s and Master’s degrees in Law from Tsinghua University.
